Rant. Got “meets expectations” for the last 6 months (corpgov, m&a, securities) - that’s fine, I was only in charge of onboarding my only and new paralegal while my only attorney direct report was on mat leave the entire time. Not only did I let no balls drop while our entire exec suite got switched out and working 10 hr days & delayed honeymoon, but I made my boss (DGC, who does nothing and guides nothing) look good by building early, solid relationships with said new execs. But that’s fine.

I'm on my second securities role as IHC and this has been my experience as well. I'm a bit sick of it, especially since I'm the only securities lawyer (or anyone who has securities experience at the company). Plus, we are a new IPO and never have filed a proxy or K before, so I completely built it from nothing...but I only get a 'meets' I have a conversation with the CLO in a few weeks to discuss this because why would I ever go above and beyond?

And oh, I also get no equity...which I don't understand at all.

Yeah i am firm.believer in doing bare minimum now. I do a good job but I am not trying to do more work since there is now benefit. I also go into office at most twice a month and dare them to say anything

My SO adds very little to our relationship. She has a dead end job. I cook. I work. I oversee finances. I plan trips. She doesn’t have a voice in the relationship. I’ve asked her to give her perspective but she always defaults to mine bc she thinks I’m smarter/worldly. She feels intimated by me and my social circle. Lately, I’ve found myself thinking for her. Considering joining a small 50-person company as the only attorney (prior attorney is retiring). (I am currently in-house at a F50). For others who have done the same path, what surprises did you have when moving from a large company to a small one?

For example, it sounds like I should not expect a document management system, based on a prior post in this bowl. I’m guessing expenses like state bar fees and cell phone are not reimbursed.

Any advice on things to expect (or not expect)?

What would be a typical salary for a junior in house counsel role (3 yoe) at a publicly traded company in a secondary market (think Austin, Tampa, Charlotte)? I’m having a really hard time finding what a reasonable range would be. Most positions I’m applying to require desired salary in the application, and the truth is I’d accept anything north of 125k but don’t want to undersell myself and take a bigger cut than necessary coming from biglaw.

Very specific to retail and/or hospitality in-house roles: has anyone found a good solution for predictive scheduling? Our retail division has one set of software for scheduling and one for payroll, and neither of them can handle predictive scheduling compliance issues unless they’re used for both the scheduling and payroll functions. I’m coming up empty on ideas for them to bridge the gap, but I’m also new to my compliance counsel role, so I would be overjoyed if anyone has suggestions.

How far do you require depts be with negotiating commercial contract terms before your legal review? I’m talking routine low value and risk contracts (e.g., vendor services), where Legal terms won’t kill the deal. My clients blindly forward contracts. I say “are you sure this term is ok?” And often get “no.” They’re surprised because they never read them. Checking the temp to see what others experience, what might be normal. I’m in big law and on the cusp of making the jump to in-house. It sounds like the company I just interviewed with is getting ready to make me an offer. It’s definitely going to be a pay cut coming from big law but I do get some nice equity in the company. Is the jump worth it? Would love some advice / thoughts. I went straight from law school to a corporate legal department in house for an asset manager. They like “home grown” talent and I “be worked hard and risen relatively quickly (AGC in 9 years). I work hard and get a lot of complicated deals done (structured products and private funds). Considering taking a position with a small-cap in the US trying to build their legal department. The title is standard “counsel” although the work would be with the senior leadership team and reporting to the GC in Europe. How reasonable is it to ask for a bump in title - Senior counsel or Head of Legal, US?
