Due to a mix of circumstance, hikes / job moves, i’ve 2x my salary over the last year.

Considering taking a position with a small-cap in the US trying to build their legal department. The title is standard “counsel” although the work would be with the senior leadership team and reporting to the GC in Europe. How reasonable is it to ask for a bump in title - Senior counsel or Head of Legal, US? If it matters, I am a 6th year and have been told that I will be expected to hire a junior or paralegal as we build up.

Outside counsel has been prepping company witnesses for a trial in August. It is my subject area so I am supervising outside counsel. I did not, however, choose the counsel. He is doing a really awful job. Co counsel is better, but not great either. Higher ups love the firm… I do not want to micromanage, but I have genuine concerns about outside counsel’s ability to try this case. What’s a fair expectation for my first raise? Publicly traded co with ~2500 employees. I’ve been doing litigation with the company for almost 3 yrs and have only had a 2% cost of living raise so far. Graduated in 2014. Base comp is $127.5k in the Philly area. I see salaries all over the place in this site and it’s hard to tell whether mine is competitive.

Is it difficult landing an in-house position as only a second year corporate associate in big law? I know some people who went in-house straight out of law school and some who had no transactional background but went in-house after just a year of practice. Not having that same luck on my end.

Forgive the basic question but can you contract around state statutes? For ex, customer wants to insert state contractor payment statutes and have that state law govern. I’m assuming the way around this is to have another more preferable state as choice of law?
