Any securities lawyers that went in house NOT doing securities? I'm an associate looking to go in house currently and although I actually really like securities work, there just don't seem to be a lot of actualy securities pubco roles out there.

Question - anyone who primarily did securities (I have very, very limited M&A reps) go in house not in securities? If so, what? How did you position the pivot? Has it worked out?

Currently, 6th year V50 FWIW. Can't stand working at a firm anymore.

Can anyone help me wrap my head around this post Series C start-up equity offer? It’s an IP director position, the the base is $170 with 10% bonus (both lower than I was expecting). There’s also an equity component: 0.15% of current fully diluted equity. This equates to about 30000 shares at a strike price of $2. They also indicate the preferred stock price is $6 and preferred stock equity is $188k (whatever that means). They are in the middle of a new financing and valuation round.

I’m moving from big law to in-house. Any recommendations on feeds, resources, etc that I should subscribe to? I’d love to be part of a group of other attorneys that are new to in-house. Any suggestions?

For those working in house, how much “from scratch” document drafting are you doing vs. reviewing and revising “outside documents”. For example, if your company wants to enter into a joint venture company with another entity, are you drafting the company agreement “from scratch” or is it based on internal forms? Curious what in-house lawyers are doing for pro bono (Model Rules recommend 50 hrs/yr). Feels harder in-house because organizations like Legal Aid seem to pair with firms or expect you to be practicing with a firm.

Any tips for moving up in a medium/large-sized legal department, aside from switching companies? I work in a collegial environment with plenty of opportunities to create more value, but the management level is fairly crowded and it seems the clearest path to get one of those roles is to be hired into it. Been interviewing for two months for an in-house position. Is this standard?

I’m in big law and on the cusp of making the jump to in-house. It sounds like the company I just interviewed with is getting ready to make me an offer. It’s definitely going to be a pay cut coming from big law but I do get some nice equity in the company. Is the jump worth it? I’m so burnt out by big law and this seems like an awesome opportunity to help shape a newish company. Any tips on how to figure out if this is the right move for me?

When I moved in-house a year ago as a BigLaw mid-level, I took a 45% pay cut, far more than I was comfortable with (although I was fine with a 20-30% cut). I took the job because it was a great role and I was focused on making the jump in house and developing the skills I wanted, which required me moving away from my firm practice area. Now that my year-end review is coming up, how do I ask my company for a significant pay raise (not just a 2-5% inflation-matching raise)?

Considering joining a small 50-person company as the only attorney (prior attorney is retiring). (I am currently in-house at a F50). For others who have done the same path, what surprises did you have when moving from a large company to a small one?

For example, it sounds like I should not expect a document management system, based on a prior post in this bowl. I’m guessing expenses like state bar fees and cell phone are not reimbursed.

Big law specialist with an offer to be the CFO and GC of a 250M AUM hedge fund. All in comp would probably be ~$300k, so about $100k less than where I would be in big law (including bonus). Potential to get involved in the business side, but most likely more of a back office role (I would also be the only legal hire - main goal would be cutting outside legal cost and streamlining processes). Does this sound like an attractive offer? What exit options would I have?
