it’s boilerplate. got added to the form a decade ago, no reason to take it out bc it still immunizes you from suit (to an extent) by advising investors of [xyz] occurring & causing a dip in pricing. you can also read it as a folk-history of serious concerns shared by the american business class that have accidentally accumulated over the last decade or so

As a securities litigator, I have seen plaintiffs sue over the most absurd “omissions” from the risk factors. You just have to be as protective as possible. But they will probably still find something to sue for.

As above, largely boilerplate. Seems like talking about Zika still is crazy work unless you’re some Brazil based business or something. We mostly don’t even mention COVID in our risk factors any more.
