Why do many associates at top tier firms stay to make Partner when they can go in-house in tech and make around the same, even long term? For example, you can make near 400-550k in-house at Google, Netflix, FB with 8-10 years of exp. More senior than that in-house, it can easily break $1M.

Very Noob question: First year here that has done DD for a couple of deals representing the seller now. Essentially all I did was note whether certain agreements have change of control provisions, and if so, what the specific language is. I understand what the CoC do, but why am I doing this? Specifically, what does the buyer do with this? It seems like these provisions should trigger but nothing then happens...

If you do billable work on a given PTO/vacation day, do you still count that day as vacation? Or do you get that vacation day "back"? Or do you only get the part that you billed "back"? (Or some other option.)

I’ve made it 5+ years in a NY M&A practice and have consistent exceeding expectations reviews. I’ve had a few mental breakdowns because of work during this time, but thankfully made it through. I’ve been in a near constant depressive/anxious state for family reasons for the last year and half, and am soon having my first kid. I’m scared shitless that I’ll spiral out of control both at work and at home if something doesn’t change soon. Any suggestions on how to keep this job and keep it together?

Maybe I’m just realizing I’m lazy… but do y’all ever get assigned an actual, hard research or drafting project and realize you don’t like the effort? Like plz let me go back to doc review.

I’m have a new theory about why juniors always feel like idiots and wanted to see if anyone else thinks this makes sense. I’m a third year, and am the most junior person all of my teams (generally me, a senior or two, and a partner or two), and I always feel like I’m messing something up. Is this just because I never get to work with other juniors and don’t see the mistakes they make, and that it’s relatively normal? Do you think partners in law firms have too much power and autonomy? eg. the power to refuse leave, to do your annual appraisal, to make you work while on leave, to overwork people, to manage the team on their on terms etc. Is this power bad or good for the firm and the team overall?

Anyone here deal with Phantom Share Agreements? Would that be in the wheelhouse for an ECVC lawyer? My BIL is being offered a job with a company and received a proposed phantom shares agreement. One condition states that he must remain in good standing with the company even after the 3 year vesting period to receive distributions. Is that atypical?

How do you deal with a Midlevel who tells the partner you’ll cover for them, but gives you less than 24 hours notice they’ll be gone without asking if you can cover? I helped out back on July on a deal with they were on vacation, and now every vacation since they keep adding me back on without keeping me appraised of the deal in the interim
