FAANG commercial counsel, are you really negotiating much in these deals? I’ve always just figured that as the big dogs, you probably tell people take it or leave it re: your standard terms. Do you just have insanely high deal thresholds and only pick up the pen if it’s a big enterprise buyer? OR is it the opposite, and you just sign whatever bc you’ve got all the power/money/leverage if things go wrong? Does it matter if you’re the buyer vs vendor?

My husband just received a job offer on an opportunity he is really excited about. Currently working on a three person team in a larger GC group. I lateraled from a different group that did not pay attorneys on an attorney scale. I’m stuck in my old pay scale but have gotten promotions and raises quickly with more on the horizon. A recruiter reached out with a new role for 2-2.5x more than I currently make doing something similar. I love my company and the people I work with but the money isn’t there. Can anyone help me wrap my head around this post Series C start-up equity offer? It’s an IP director position, the the base is $170 with 10% bonus (both lower than I was expecting). There’s also an equity component: 0.15% of current fully diluted equity. This equates to about 30000 shares at a strike price of $2. They also indicate the preferred stock price is $6 and preferred stock equity is $188k (whatever that means). They are in the middle of a new financing and valuation round.

Hello, hoping for some input on how to time a job change. At a startup - we are doing well now but unless we have complete turnover in management I don’t think we have a bright future post-COVID. I could coast here 1-2 years before having to look. I’ve been here for a little under a year. This is my second in house job after 10 years at the same firm. The market is hot now, probably won’t be in 1-2 years and I am getting interest for good roles. OTOH I don’t want to look like a job hopper.

Considering a move in-house to NBC Universal in any litigation role (though I’d really go to wherever there is a need, whether litigation or business affairs generally). Coming from 4th year law firm litigation experience in a variety of areas but mostly data breach, e-discovery, breach of K. What is work-life balance like in big tech legal? I’m currently in house at a large multinational; I like my job and I get paid fine, with a very good WLB (40-45 hrs). I want to look into FAANG-type opportunities as they would mean a huge pay bump, and I think I’m qualified, but I have no idea about the hours, and I don’t want to substantially give up WLB, as that’s why I left BigLaw. I don’t want to be miserable again. I know Amazon is poorly reputed for lawyer WLB… what about other places?

How do you find in-house positions?

When I moved in-house a year ago as a BigLaw mid-level, I took a 45% pay cut, far more than I was comfortable with (although I was fine with a 20-30% cut). I took the job because it was a great role and I was focused on making the jump in house and developing the skills I wanted, which required me moving away from my firm practice area. Now that my year-end review is coming up, how do I ask my company for a significant pay raise (not just a 2-5% inflation-matching raise)?

In house interview- I am going to hopefully the final round of interview to meet the whole legal team. I was asked about my availability, and it will take 5 hours if in one day. Should I split to multiple days? Will it cause any issues? Anyone on both sides can speak from their experience? Thanks!

How does your company manage (track) all of the documents related to a merger you are working on? Are you using a matter management software, a spreadsheet, shared file, etc? Keeping up with the moving pieces is killing me with just a spreadsheet.

Anyone ever considered contractor gig in Meta/Facebook or any other big players in tech? I'm full-time in a smaller company and it's pretty stable. Wondering if the move could be worthwhile. Mostly want to explore other areas. Other things to consider: planning for babies in the next 3-5 years; maternity leave in current position is basically what's legally required.
