FAANG commercial counsel, are you really negotiating much in these deals? I’ve always just figured that as the big dogs, you probably tell people take it or leave it re: your standard terms. Do you just have insanely high deal thresholds and only pick up the pen if it’s a big enterprise buyer? OR is it the opposite, and you just sign whatever bc you’ve got all the power/money/leverage if things go wrong? Does it matter if you’re the buyer vs vendor?

I help my clients negotiate against FAANG and similar companies. If you're joe schmo, then you have no wiggle room. But if you're a GSIB, large customer, or have other types of pull, then there's plenty of room to negotiate. Especially in novel types of transactions such as those involving data centers/AI/fiber/etc.

Am negotiating all the time against other big players in other industries. Most of our commercial roles are combined with product roles so you do more than just negotiate contracts.

yeah even if you are not always negotiating contracts, you are advising on ai , privacy and IP issues arising from these deals

your intuition is right about commercial counsel - they negotiate by essentially saying this is market or we service a multi tenant saas solution.

My husband just received a job offer on an opportunity he is really excited about. It would be great for his career and they are giving the 15% jump in base he asked for, however they won’t share what the target bonus amount would be. It’s an executive director position, so I would assume it’s a decent target bonus, but without that in writing it could honestly be a gift basket at the end of the year. Currently working on a three person team in a larger GC group. I lateraled from a different group that did not pay attorneys on an attorney scale. I’m stuck in my old pay scale but have gotten promotions and raises quickly with more on the horizon. A recruiter reached out with a new role for 2-2.5x more than I currently make doing something similar. I love my company and the people I work with but the money isn’t there. Can anyone help me wrap my head around this post Series C start-up equity offer? It’s an IP director position, the the base is $170 with 10% bonus (both lower than I was expecting). There’s also an equity component: 0.15% of current fully diluted equity. This equates to about 30000 shares at a strike price of $2. They also indicate the preferred stock price is $6 and preferred stock equity is $188k (whatever that means). They are in the middle of a new financing and valuation round.

Hello, hoping for some input on how to time a job change. At a startup - we are doing well now but unless we have complete turnover in management I don’t think we have a bright future post-COVID. I could coast here 1-2 years before having to look. I’ve been here for a little under a year. This is my second in house job after 10 years at the same firm. What is work-life balance like in big tech legal? I’m currently in house at a large multinational; I like my job and I get paid fine, with a very good WLB (40-45 hrs). I want to look into FAANG-type opportunities as they would mean a huge pay bump, and I think I’m qualified, but I have no idea about the hours, and I don’t want to substantially give up WLB, as that’s why I left BigLaw. I don’t want to be miserable again. I know Amazon is poorly reputed for lawyer WLB… what about other places?

When I moved in-house a year ago as a BigLaw mid-level, I took a 45% pay cut, far more than I was comfortable with (although I was fine with a 20-30% cut). I took the job because it was a great role and I was focused on making the jump in house and developing the skills I wanted, which required me moving away from my firm practice area. Now that my year-end review is coming up, how do I ask my company for a significant pay raise (not just a 2-5% inflation-matching raise)?

In house interview- I am going to hopefully the final round of interview to meet the whole legal team. I was asked about my availability, and it will take 5 hours if in one day. Should I split to multiple days? Will it cause any issues? Anyone on both sides can speak from their experience? Thanks!
