Former CEO was brought in to decide an issue I’d counseled the business not to do (for legal reasons; they wanted to do it anyway). He brought in outside counsel to do a presentation on the issue to leadership. OC said the same thing I had said in my analysis and advice. The CEO decided to interpret their (identical) advice as permission to let the business do it anyway. That CEO was replaced and I’m sure his weak spine was part of it.

Most of the time we’re just advising. If they want to go against our advice, that’s the business’s decision. Only real push back is where something is illegal and exposing the company to liability, would break essential certifications.
And even then, you’re going to paper it up so if they get sued, your email is Exhibit A your insurance carrier uses to deny the E&O claim…

ask the guy who sets corporate strategy as M/A, he does alot of strategic work and can offer his perspective on navigating difficult personalities.
you can just write an email outlining your legal analysis of the risks and say that the president can do what he wants understanding the risks
Man the amount of times I’ve had to deal with leaders who just fundamentally hate certain laws (usually r,rates to employees or taxes). I’m like dude I’m not your congressional rep, this is a federal law and it’s not even gray. Made me more progressive and liberal TBH.
