Anyone know of any standards, or have any opinions, on naming in-house counsel as a named fiduciary of their company's 401k plan? Pros and cons?

ERISA fiduciary duties are "the highest known to the law" (Donovan v. Bierwirth). And we're talking personal liability here. 29 USC 1109(a).

I wouldn't do it.

Also, it’s not recommended for attorneys to become fiduciaries of ERISA plans, as there is no attorney/client privilege for fiduciaries.

My colleague is going on maternity leave for 4 months and I was asked to cover some of her projects which are step up in responsibility than what I’m currently operating at. I’m new to in-house and I begin in January. I wanted to basically better understand M&A and all the inner workings of expanding the scope of a business into new avenues. Does anyone recommend a book or two that may be relevant/helpful? On amazon, I see “The Art of M&A” and “Working With Contracts”. Thank you for any insight.

Any advice for lateraling in-house?

I am an IP attorney (prosecution) I am totally burned out from patent drafting (never enjoyed it) and I have been trying to get a job in-house for years with mixed results. Anywhere from a long list of generic thanks but not thanks emails to final round interviews. Pretty desperate to get out of firm life but seems like I can't get any traction. Any tips/encouragement would be greatly appreciated!

Career dev advice needed. Being offered a promotion (would be reporting to my current skip and managing/growing a team). The role is global subsidiary management/governance. But the work does not appeal to me, I’ve been doing some of it and it’s so much admin and people management. I’m not practicing law at all. Have you had to change your start date after accepting an offer and how did it go? I told them I need to give 30 day notice and so I set my start date (incorrectly) assuming the background check and drug screen would take a few days to clear. However, the drug screen is now taking over a week and a half (still not finished, maybe tomorrow). Apparently things are much slower due to staffing issues and labs are backed up. It’s cutting into my 30 day notice significantly. Thoughts?

Those who have returned to a law firm from being in-house - what was your experience like? If you hated a firm the first time, was it better the second time around? I swore I’d never go back, but seeing the newest round of BigLaw raises and salary increases I am genuinely considering it - I’m getting married and planning for kids shortly, and would like to buy a home in our HCOL city, and while I’m not starving on my in-house salary and am fairly frugal, I don’t feel like we have much cushion.
