Is it just me or does anyone else find the practical law templates commercially unworkable? Not just that you have to tailor them, but that they are “too much” to begin with such that you are better off starting with something else?

Of course you have to tailor them. If templates could be used “off the shelf,” lawyers wouldn’t be needed. The forms typically have all provisions that are potentially relevant and, as the attorney, you are expected to determine which provisions are unnecessary to your particular transaction and delete them. It’s easier to delete provisions than it is to identify relevant provisions that are missing and draft those provisions for inclusion .

My “not just that you have to tailor them” comment was to say I know you have to tailor them and that is not a reason I think they are not great for commercial deals (distribution agreements and the like). It is more than all the typical deleting and massaging. They are clunky and then I personnally find even after all that… it wiuld have been better to start with something else.

The privacy ones are pretty good.

The longer ones trip over themselves some times, i feel like their saas agreement is that way. But mostly good - what templates are you referring to?

Tripping over themselves is a good characterization. Thank you. All the ones related to distribution and supply and tangents to that.

I definitely find the practical law templates to be commercially unworkable. For me, they are often too complex, too long, and require quite a bit of tailoring before they can be used. On more than one occasion I have started with a different template, made the necessary adjustments, and ended up with something that I find more useful.

Curious as to how many deals at once is typical for a first year associate to take on (M&A, mostly private equity clients). Deal size is lower middle market and I’ve worked on deals ranging from $1-$110M. 2 deals at once is plenty for me, but it seems like my peers are able to take on more than that at once and still do fine. Maybe I’m just a slow learner/out of my league at the big law firm I’m at.
