Perhaps somebody can shed some light on the differences between VDD, ODD, and CDD? What are they, and how long does each project range?

CDD - due diligence focused on the commercial viability of the business - answers questions like what is their value prop, where do they play (market position) and how do they win (competition)
Work streams like business plan assessment will blend a little with FDD but again will be more focused on commercial viability rather than pure balance sheet crunching

VDD or vendor side DD is basically same thing, but more glass half full rather than empty.

Scope of both will depend on the specific business and what Qs investors are looking to answer. VDD typically longer, think 4 weeks +, CDD shorter timelines <4 weeks but all depends on the transaction cycle.

A VDD is a sell-side document. Always comes with another letter, A1 referred to a CVDD but there are also FVDDs, OVDDs, etc. the less formal version (typically without giving reliance) is a „fact book“.

On another note, this is really a question for Google or ChatGPT

ODD - an operational due diligence focuses on the operating model and risks/opportunities associated with it. For a buy side integration, typically, you will investigate what the overlaps in business functions will be and what your transition from separate organisations to a single organisation will be. You will assess each of the functions, typically against industry standards like head count, output, etc. A carve out ODD will look at how to disentangle a business unit as well as what TSAs (Transitional Services Agreement) will be required. They can be anywhere from 2-3 to 2-3 months, depending on how detailed they get.

Interesting all the noise about these PPT, my take:

The pandemic took all the upside of an IB analyst life (client meetings in person, fancy trips, suit up, worshiped at networking events) and left all the juniors with the downside (long hours, monkey-like type of job, aggressive work environment).

Not that the complaints are not sort of legitimate but you may need to revise the decision-making process that led you to accept a return offer. Specially if you were looking for less hours.

My firm’s IT (especially system saving and file locating function) is so bad 😐😞 and they keep doing updates no one asked them for just to mess with the stuff we already got a hang of without doing anything about the issues we actually need fixed. Anyone else in a similar boat? Do you bill the client for the time it takes to fix the IT issue (or IT inefficiency generally, like time taken to find a file in a convoluted system)? Or is that supposed to be our non-billable time?

2: PwC - post-merger integration, DDV team (essentially M&A Consulting) - bigger city, always been keen to move

Coming as a Senior in Audit, with recent FDD exposure (2 deals, obviously not much). I was looking for something more than just number crunching, wanting a mix of quant / quali / strategic work. M&A Advisory or a Corp Strategy role is where I'm looking to end up long term.
