What do you tell students when they ask what busy season is like, and how long it lasts?

Curious as to how many deals at once is typical for a first year associate to take on (M&A, mostly private equity clients). Deal size is lower middle market and I’ve worked on deals ranging from $1-$110M. 2 deals at once is plenty for me, but it seems like my peers are able to take on more than that at once and still do fine. Maybe I’m just a slow learner/out of my league at the big law firm I’m at.

How long should it take for a 5th year associate to prepare a somewhat nuanced shareholders' agreement or operating agreement?

When pitching your group at a midsized firm’s services to potential clients such as PE firms, what selling points would you push for as to why you’re better suited than, or at least a good option over, big NY firms? I’m thinking more competitive fees for one, but what else would convince a PE investor to retain a midsized firm/keep them in mind?

Which offer should I accept? Currently staff 2 at big 4 in Tax with CPA license. I want to leave tax ASAP. Both are public companies +1B in revenue and same salary. Offer 1 - staff revenue accountant so reading contracts, speaking with the sales team and legal team, a lot of work at the end of the months to close books and reconcile transactions to make sure we are ASC 606 compliant. This track usually leads to director of revenue. Offer 2 - internal audit staff so SOX and compliance projects.

Just finishing my first week in as an audit intern and genuinely I have no idea what I'm doing or even a general idea of the audit process. The senior associate left the engagement last week so it's just me and an associate, and they don't have time to give me instruction.

Am I stupid or did the e-learns not prepare me for any of this? The training told me I'd be auditing cash but I haven't even touched a bank reconciliation.
