Is it a startup? You will learn way more and be more uncomfortable. The relationship you have with the other attorney will be much more important too.

Did you mean startup as in an actual starup/tech? If not, setup 2 is not appealing at all.
That wouldn't be the move that I would make. You might get some good experience but it likely won't help you grow in your career as an attorney. I personally wouldn't go for a startup.
How viable is the startup?
If you reasonably expect it to grow, you will have the opportunity to wear a lot of hats, learn many skills, and solve different challenges.
If the startup is expected to sell itself to another company in 12 months, plan on having to find a new job in 12 months+2 weeks.
If the startup is underfunded, plan on having to find a new job in a couple of months.
For the job with the large legal team, anticipate being tasked with legal matters for their 3rd largest subsidiary involving counterparties whose names begin with letters A through K, and being pigeonholed with that for the next four years, when you will be promoted to letters A through G of their 2nd largest subsidiary. The job will be significantly more stable than the startup, though, unless the company's share price drops by 20% for more than two consecutive quarters, in which case they will shed 20% of the headcount, including staff whose only meaningful skill is handling legal matters for their 3rd largest subsidiary involving counterparties whose names begin with letters A through K.
