I’m currently a 2nd year associate in commercial finance. I’ve realized I don’t enjoy a a strictly transactional practice. I enjoyed litigation matters as a summer (particularly the adversarial nature). Also, love talking and advising clients. I don’t want the litigation lifestyle and appreciate the in-house opportunities of transactional. Assuming that I could switch (or lateral), I’m thinking I may enjoy employment (and the ability to defend and train/advise). I appreciate any insight.

You might also look into white collar or adjacent compliance roles (import/export, antitrust, anti-corruption, etc)

Consider a mixed practice like real estate (mostly transactional but maybe zoning hearings would give you the thrill of oral advocacy you may enjoy) or bankruptcy. I think environmental is another one that's pretty mixed but not sure how much oral advocacy time you'd get

Hypo: client says they agreed to use a prior agreement another firm drafted as precedent for a new deal prior to engaging you. It’s maybe the most poorly written contact you’ve ever seen. Most material terms are arguably there, but it’s convoluted and you’d be embarrassed to put your name on it. There’s clearly a better way to draft it. To what extent do you re-write certain sections?

I almost always respond to the partner with my thoughts and ask partner whether P agrees with my thoughts, prior to emailing client. At what point should I be skipping that step and just email client? I’m worried about making a mistake, but most of the time P agrees with my “draft”
