Just got an offer to be securities counsel in house at a pubco. One component of the role is to assist/lead M&A projects. I didn't really do a whole lot of substantive M&A at my firm (really just 34 Act reviews and capital market transactions). Curious what M&A looks like in house/how to maybe prepare.

We use Deloitte India for a number of parts of our delivery. Recently I have seen some unethical practices that violate labor laws and do not align with Deloitte principles. Would love some advice / thoughts. I went straight from law school to a corporate legal department in house for an asset manager. They like “home grown” talent and I “be worked hard and risen relatively quickly (AGC in 9 years). I work hard and get a lot of complicated deals done (structured products and private funds). I can’t shake certain people (in compliance department mainly) thinking I don’t have enough experience to do what I do because I didn’t come from a law firm. Any advice?

Can anyone help me wrap my head around this post Series C start-up equity offer? It’s an IP director position, the the base is $170 with 10% bonus (both lower than I was expecting). There’s also an equity component: 0.15% of current fully diluted equity. This equates to about 30000 shares at a strike price of $2. They also indicate the preferred stock price is $6 and preferred stock equity is $188k (whatever that means). They are in the middle of a new financing and valuation round.

Any advice on finding in-house opportunities for junior associates in IP transactions/privacy? I've seen some juniors with 0.5-1.5 years of experience in biglaw go in-house lately, but all the postings I've found ask for 3+ years.

How far do you require depts be with negotiating commercial contract terms before your legal review? I’m talking routine low value and risk contracts (e.g., vendor services), where Legal terms won’t kill the deal. My clients blindly forward contracts. I say “are you sure this term is ok?” And often get “no.” They’re surprised because they never read them. Checking the temp to see what others experience, what might be normal. What is work-life balance like in big tech legal? I’m currently in house at a large multinational; I like my job and I get paid fine, with a very good WLB (40-45 hrs). I want to look into FAANG-type opportunities as they would mean a huge pay bump, and I think I’m qualified, but I have no idea about the hours, and I don’t want to substantially give up WLB, as that’s why I left BigLaw. I don’t want to be miserable again. I know Amazon is poorly reputed for lawyer WLB… what about other places?

For those working in house, how much “from scratch” document drafting are you doing vs. reviewing and revising “outside documents”. For example, if your company wants to enter into a joint venture company with another entity, are you drafting the company agreement “from scratch” or is it based on internal forms? Or are you getting outside counsel to do it?

Anyone ever considered contractor gig in Meta/Facebook or any other big players in tech? I'm full-time in a smaller company and it's pretty stable. Wondering if the move could be worthwhile. Mostly want to explore other areas. Other things to consider: planning for babies in the next 3-5 years; maternity leave in current position is basically what's legally required.

Currently working on a three person team in a larger GC group. I lateraled from a different group that did not pay attorneys on an attorney scale. I’m stuck in my old pay scale but have gotten promotions and raises quickly with more on the horizon. Trying to understand risk of loss and title better. When does it make sense for title to transfer upon receipt of payment? Why would title and risk transfer separately?

My company cut staff to 4 days/wk to save funds. I was getting requests from coworkers for docs needed urgently on our day off (fridays). I would oblige them. But then, I learned that those same coworkers had been put back to 5 days because they were deemed “essential“. I felt foolish and decided to stop working on fridays. One EVP (not the GC) in particular has been aggressively texting/calling me on fridays. How Do I tactfully respond? My out-of-office email is not enough of a hint...

When I moved in-house a year ago as a BigLaw mid-level, I took a 45% pay cut, far more than I was comfortable with (although I was fine with a 20-30% cut).
