Really want to try a commercial counsel role so I can be more well rounded (currently in corpgov, securities and m&a with 8YOE, in-house tech), but my very corpgov resume isn’t selling even for associate counsel positions, i.e. paper rejected. Any advice would be appreciated, thank you.

You’re going to need some commercial experience. Find a stepping stone generalist role where you can get some of that exposure. Smaller mid-size shops most likely.

Anyone can do commercial work. It's following a playbook. Just ask to help out with some at your current company. Your commercial team will be happy to share the load. You'll quickly find that it's tedious and endless. There's a reason it's the commoditized role in house.

Yeah not only is the work rote and tedious, the substance isn't that difficult to understand. That's why it lends itself so well to playbooks

This comes off as a post by a commercial lawyer with a sour grapes mindset and is now LARPing as a corporate lawyer.

If you're actually serious, OP, just say you've worked on commercial contracts on your resume. There's not much to it, and it's extremely easy to understand and pick up even if you don't actually do it. Read a playbook of you have to, and then talk about how you love going back and forth on limit of liability if asked during an interview.

Check the overtime laws for your state!!

I just recently worked 58.6 hours in a week, weekly pay, nice OT profit right? Depends on where you live.

In Iowa, there is no Overtime pay mandate, the overtime pay is at the discretion of the business. I received 58.6 hours of base pay for the week.

If the company makes less than $1 million per year or does not engage in intercontinental sales, the company is not required to pay the overtime rate of time and a half, just your base rate.

My background is in tech transactional. I joined a cybersecurity SaaS startup at the end of last year and now also handle more generalist matters in addition to all things commercial-related. I have a number of books on contracts that I’ve found super helpful over the years (The Tech Contracts Handbook, A Manual of Style for Contract Drafting, Sign Here, etc.). Can anyone recommend books they’ve found helpful for L&E matters, privacy matters, product matters, or marketing/advertising matters?

How long is too long to try to push back a start date? Getting a formal offer early next week but trying to keep that big law bonus if possible. Firm pays out bonuses Dec 30 & I have a vacation scheduled Dec 19-23 (and was planning on working remotely the week after too). Ideally want to get EOY bonus or negotiate for a signing bonus but is it too much to push for signing bonus and those weeks off? I'm open to working remotely those two weeks but know that may not be the best when I start.

Have you had to change your start date after accepting an offer and how did it go? I told them I need to give 30 day notice and so I set my start date (incorrectly) assuming the background check and drug screen would take a few days to clear. However, the drug screen is now taking over a week and a half (still not finished, maybe tomorrow). Apparently things are much slower due to staffing issues and labs are backed up. It’s cutting into my 30 day notice significantly. Thoughts?

I work as in house counsel, and a lot of the employees are not qualified for their position and don’t understand legal/compliance even though they’ve been trained and should be competent enough to understand. I am constantly cleaning up messes and repeating myself and teaching rudimentary skills to the same people every day. Just started in-house and my days are full of meetings with little time in between to analyze or process anything. Is this typical? I keep taking lots of notes but haven’t had a chance to really review and reflect on my notes, to follow up and investigate or do any strategic or legal analysis. Lots of on the fly work for now. Need a sanity check here.

When I joined my current company, we were on a quarterly bonus structure with guaranteed payouts each quarter. This was, in fact, how the recruiter said he could meet my salary request.

The company just announced we are moving to annual payouts only, with no payments for 2023 until May 2024. There are no raises happening.

This amounts to 12% less money in my pocket in 2023 plus inflation.

Is this standard, or should I be looking for opportunities elsewhere?
