Tfw you spend days negotiating in good faith with OC who claims they have to stick with onerous, non-market clauses (heavily skewed in their favor) as a matter of internal policy only to find out from an outside party who regularly works opposite them that they do not in fact use that language as a matter of policy...to make things more bizarre OC is the one who needs to deal to go through but thinks they can play dumb to take advantage of a smaller player... 😑

If you’re feeling particularly frisky, you can offer, “we can consider it, subject to a rep/warranty that an identical clause is in all of your vendor contracts”

Salary check. I am currently an in house attorney. 12 YOE. Large company with great coworkers doing regulatory work for the insurance industry. Good work life balance. I live in a high COL city. Out of curiosity and to test the market, I interviewed at a FAANG. Did not get the job, but found out TC was 350k, significantly higher than my TC 230k. Database for M&A precedents? Trying to look for a share purchase agreement from a 2021 acquisition. Didn’t find it on EDGAR. Is there anyway to make sure the document is not publicly available? How can I get access to this agreement?
