Has anyone ever heard of this type of real estate private equity fund structure:

-One LLC, so only one PPM
-Multiple investors that can be onboarded anytime
-Multiple investments that investors can determine whether or not they want to invest in
-One K-1 per investor based on their investments and income
-Ability for the Sponsor/Fund to invest directly, indirectly and in equity, debt, Pref, etc.

Current UCC-1 filed securing “all assets of debtor” in 2019. Why is it necessary to file a new UCC-1 at closing securing the exact same collateral?

I've been applying to jobs for months but every position wants at least 2yrs of experience in real estate transactions, usually way more. We are looking to file something like an injunction injunction to stop a property sale. The property is owned by a sister and brother. Brother is deceased so it passed down to his children. The heirs bad no idea the aunt is trying to sell. Can we file some type of injunction?

Pro se plaintiff, an attorney, filed a complaint alleging mold defects after closing on a property. Client, layperson, may have agreed orally to a settlement amount without proof of damages prior to filing appearance and obtaining an attorney. Client filed appearance pro se, then plaintiff sent over a draft settlement agreement few weeks later which client didn’t sign. Client then got an attorney, filed answer, etc. Can this oral agreement be voided for coercion, indefinite mat’l term, etc?

A client developer group just told me they reached terms to “buy equity in a lease.” From what they’ve told me, if we were setting this up fresh, I’d do a new LLC and easily handle capital contributions, buy-sell, etc. in the new LLC agreement. However, here the partner had a long-term lease on the underlying RE that our group wants to develop as a concept. Lease assignment to new LLC is dicey, but I’m thinking maybe we set up a Mgmt services company to contract w/ the partner-tenant entity?
