Does anyone regret doing M&A in house? Is it easy to pivot out to and, if so, which roles could I realistically pivot to?

You could probably pivot to securities, assuming you have a little exposure to capital markets and are at a pubco. I'm sort of the reverse of you - I'm our securities and M&A counsel but my real bread and butter background is securities, so I try to send everything I can to outside counsel or someone else internally because I really don't know much about the ins and outs of M&A. I know enough to get by but that's about it.

Securities is awesome at a pubco...your busy times are predictable and known (absent unforeseen events). But id think it would be hard to pivot from a different practice area....company isnt going to want to train you or absorb large outside counsel fees while you learn

Procurement? Compliance?

Both had biglaw(ish) backgrounds. One moved into product by pretty much sheer networking at the old company I was at. The other applied for years and got into a large tech company leveraging her regulatory experience and contracting work. For what it’s worth, she says a lot of her job feels like a regular product manager with a legal slant to it to ensure compliance with applicable law (which she is trying to learn on the fly half the time).

Feel like you could pivot to almost any function that is involved in the M&A process given your exposure during the diligence and negotiation process

Most of my interactions are with business dev. A lot of the diligence was farmed out to outside counsel, but I could probably spin for commercial counsel role. I've heard this is usually a step down though, or is there higher level commercial work? Not sure if I'm missing other potential types of work I can do.

I do M&A at a pubco in combo with some strategic JV/partnership work. I figure if I ever leave I’ll look for a similar gig. I wouldn’t want to do pure commercial work as I like the deal/strategy aspect. I suppose I could land an SEC gig (did a healthy amount of it in big law and keep abreast of it now) but I find annual reporting pretty boring (though I admit it’s fairly easy once you get in the groove).

Is it difficult landing an in-house position as only a second year corporate associate in big law? I know some people who went in-house straight out of law school and some who had no transactional background but went in-house after just a year of practice. Not having that same luck on my end.

Very specific to retail and/or hospitality in-house roles: has anyone found a good solution for predictive scheduling? Our retail division has one set of software for scheduling and one for payroll, and neither of them can handle predictive scheduling compliance issues unless they’re used for both the scheduling and payroll functions. Forgive the basic question but can you contract around state statutes? For ex, customer wants to insert state contractor payment statutes and have that state law govern. I’m assuming the way around this is to have another more preferable state as choice of law?
