Have you ever seen a deal go horribly wrong? Was just involved in one that should have been a done deal take a left turn and fail. Expectations definitely weren't aligned with reality in there.

These days most deals go horribly wrong. Everyone is too nervous about the economy, makes them question every little thing.

Yes. Who's fault was it? Will it come back to bite you? CYA in memo/email format.

Once we got several turns through a draft PSA before our client realized that the target’s manufacturing facility was sitting on a CERCLA site (they wouldn’t let us do enviro diligence till the last minute). We were probably a week or two away from signing. Deal died the next day.

Corporate / M&A folks making moves over the last few months: Got an offer from a top 50 lockstep AmLaw100 firm. 4th year. Not NYC but in a market that was recently bumped up to the previous Cravath scale market. Base is obviously set. What should I expect / negotiate for signing bonus, year-end bonus eligibility, special bonus eligibility, etc.? Any other negotiation considerations? I would say leverage is on my side considerably.

Rising 2nd year here: been rethinking my choice as an M&A attorney. I've had a rough go of it over the first year-and-a-half of practice and am thinking about moving to a different practice area. I'd like to stay on the transactional side, but am not quite sure what areas I can leverage my corporate and M&A skills in. I was thinking T&E (i.e. business succession planning, etc.)

Would greatly appreciate input from others.
