Head AI researcher wants to enter into a hedge contract even though our trading policy prohibits this. Leadership wants to appease him, so I’m spending endless time researching and talking with outside counsel and his bank to try to limit risk (after amending our policy to allow exceptions). Honestly disappointed as this feels spineless - is bending like this normal at other legal teams?

Can anyone help me wrap my head around this post Series C start-up equity offer? It’s an IP director position, the the base is $170 with 10% bonus (both lower than I was expecting). There’s also an equity component: 0.15% of current fully diluted equity. This equates to about 30000 shares at a strike price of $2. They also indicate the preferred stock price is $6 and preferred stock equity is $188k (whatever that means). They are in the middle of a new financing and valuation round.

What’s a fair expectation for my first raise? Publicly traded co with ~2500 employees. I’ve been doing litigation with the company for almost 3 yrs and have only had a 2% cost of living raise so far. I’m a new contracts lawyer and am trying to learn how to harmonize indemnification with LOL. Any tips or resources? I know this is a broad question, but would appreciate any direction on what questions to ask when reviewing a K to do this.

My background is in tech transactional. I joined a cybersecurity SaaS startup at the end of last year and now also handle more generalist matters in addition to all things commercial-related. I have a number of books on contracts that I’ve found super helpful over the years (The Tech Contracts Handbook, A Manual of Style for Contract Drafting, Sign Here, etc.). Can anyone recommend books they’ve found helpful for L&E matters, privacy matters, product matters, or marketing/advertising matters?

Is it difficult landing an in-house position as only a second year corporate associate in big law? I know some people who went in-house straight out of law school and some who had no transactional background but went in-house after just a year of practice. Not having that same luck on my end.

Any in-house antitrust counsel willing to offer up some advice? I just started in a firm's well-regarded antitrust group. What do I do over the next few years to make myself most marketable to move in-house? And when is that move actually feasible/ideal for antitrust specialists?

Senior counsel, retail furniture company. Going through interviews now for the role and I’m wondering what a typical compensation package is. My specialty is real estate, 2015 grad, been in-house my whole career except for a short stint at a boutique real estate firm in SF when I graduated law school. SF Bay Area.

Over the past year, my counsel is constantly judged by a select few senior business folks (eg arguing over FTC compliance, IP risk counsel, and even simple things regarding NDAs that any attorney wouldn’t question. It’s very frustrating that my own team is the one I have to defend my logic to (and not opposing counsel). It feels like they want a rubber stamper, which is not me.I never faced this at my prior in-house roles (probably because they were much a larger). Any advice on how to handle?

Do GCs work as much as big law partners? It seems like the GCs I know are slammed all the time and even work weekends
