I am a 4th year commercial lit associate, leaving private practice for a multitude of reasons. I have a large client that I have been servicing. I handle litigation and another NEP (who doesn’t have a book) handles all the corporate work. How do I navigate leaving the firm and my clients? My fees to date aren’t substantial but this client is valued at over $90 million and is ripe for a merger/acquisition within the next 5-7 years.

Is it your client specifically? Or does it belong to the firm/a partner? I had some clients when I went in house and my firm took them over.

Either you have the relationship and the client wouldn’t be at the firm but for you or it’s not really your client and when you leave the person with the relationship keeps the client.

Got an offer for SE III at a large tech company. Product I'd be working on interests me and I think I could grow more than in my current role.

Currently I make 180k base and have ISO/RSUs @ startup (60k/yr worth on paper, but won't be worth anything for a few years, if at all).

The offer is:
Base: $166,500
Target Bonus: 10% ($16,650)
RSU: 120k total (30k/yr)

Thoughts on offer? Should I counter?

Additionally there's a yearly target RSU bonus about equal to the cash bonus. Thoughts? 4.5 YOE
