Not able to hit series C funding? What does that mean? You can’t have a series D round without a series C.
A large factor is the company’s valuation with their series D round and the general valuations of series A-C. It could mean they are considering going public soon thereafter.
I’d tailor your questions regarding if valuation has increased or decreased. If the latter, ask a lot of questions as why, bc a decreased valuation that late is a red flag.
Rounds are offers to private investors, they can keep raising privately after D too, Series E is not uncommon.
Often the plan for this type of investor is to take the company public - which allows them to sell the stock of the company on public markets to folks like you and me, stock they purchased at a higher price than they bought it for. Angel investors and Series A took on more risk on an unknown Co and got their allocation cheap so have better chance on upside gains, but also take more losses.
A Down round is when the current raise values the company less than the previous one. That doesn't have to be fatal to a company's chances but its definitely negative. What was Co valuation at D compared to C?
In this current market environment where higher valuations will be tougher to get, a common way forward is cutting the burn rate (the spending of those investor dollars to grow the Co - and that could mean layoffs) and getting revenue positive.
