If your company really is about to IPO and you’re vesting while hitting $380k TC, you’d be crazy to leave for a seed stage company (90% of which will fail) in a bad economy with VC money drying up.
Unless I’m missing something huge here (your company is on fire, the new startup wants you as a cofounder, you have a toxic work environment, you’re a demigod), this is an absolute non-starter.
The piece you’re missing though is that there’s a 9 in 10 or so chance that the seed stage equity is worthless or de minimis.
You’d literally be leaving a pre-IPO company (one of the very small group of winners) to chase the potential of joining a company that hopefully will have the chance to someday, 7 years from now, become a pre-IPO company.
Are they really going to IPO in this market? For context, I don’t think any tech companies have gone public this year.
What basis do you have for making that claim? Just asking because I took a Pre-IPO tech offer and now it was has been tabled indefinitely.
Is the company profitable? That’ll probably be the best indicator for timing.
I'm at a seed stage start up now with 25 people. I would first do the exercise of what salary are you willing to accept bc ultimately, seed stage means the company is cash poor and will be highly unlikely to meet your current comp. Equity really depends on the cap table and how integral your role is. Generally I've seen 1-2% (translated to common stock or ISOs depending on whether 409b has been done), I've heard as high as 4%, but it was a much smaller start up than what you are describing.

Explain - seed stage with a valuation > 100M. That’s an incredibly unhealthy thing or Sam Altman’s next company
