Pubco - some of our clients ask us to provide financial statements. We want to design a policy that essentially says we are only to provide publicly available f/s (i.e., filed with the SEC or some other government entity that are available). Does anyone know of a company that discloses a similar policy? I know what it needs to say, but I just want to take a look at an example policy.

Can someone explain how billable hours work? At a new agency and although I had to fill timesheets at my previous agencies, they were mainly used to ensure we weren’t over servicing a client/for setting the appropriate retainer for contract renewals. NFW- I just had a good laugh. Earlier today I was on a video conference call reviewing a Private Label Agreement template with a larger company who wishes to brand label products we develop and manufacture. We came to a very one-sided provision and my sales VP stated “for this one, how can we just say ‘hell no’ ...nicely?” The other person on the call said we can replace the wording with just NFW (no f@$* way) and I said “I will have to add that to the defined terms section so it’s clear”

Had two rounds of interviews for an in house role and really like the company/job. I followed up Friday regarding next steps and was told they are still interviewing and should be wrapping up soon. Advice on how to stay calm? I want the position and need to know if there’s a way to speed up the process.

Considering taking a position with a small-cap in the US trying to build their legal department. The title is standard “counsel” although the work would be with the senior leadership team and reporting to the GC in Europe. How reasonable is it to ask for a bump in title - Senior counsel or Head of Legal, US? If it matters, I am a 6th year and have been told that I will be expected to hire a junior or paralegal as we build up.

What kind of companies pay more than $200k base and what practice areas? Remote or Texas. I’m a new attorney between M&A and L&E, but I’m willing to switch practice areas for the best exit options in the future (4-5 yoe).

My background is in tech transactional. I joined a cybersecurity SaaS startup at the end of last year and now also handle more generalist matters in addition to all things commercial-related. I have a number of books on contracts that I’ve found super helpful over the years (The Tech Contracts Handbook, A Manual of Style for Contract Drafting, Sign Here, etc.). How many in house counsel are in your company? Please also share the total number of employees and company revenue for reference. I’ll start. 55 in house counsel globally for a $10b company, total employee count ~32k.

Is it difficult landing an in-house position as only a second year corporate associate in big law? I know some people who went in-house straight out of law school and some who had no transactional background but went in-house after just a year of practice. Not having that same luck on my end.

I’m a new contracts lawyer and am trying to learn how to harmonize indemnification with LOL. Any tips or resources? I know this is a broad question, but would appreciate any direction on what questions to ask when reviewing a K to do this.

I have one pro bono case that I kept when I left my firm to go in house. It’s a matter completely unrelated to my company and I have malpractice insurance through the nonprofit organization associated with the case. I’ve made clear to my client that I’m repping this client in my personal capacity. No one has asked me specifically about pro bono stuff at my company - if I know there’s no conflict of interest, is this something I should disclose? To whom should I disclose this?

Anyone going to the security/privacy conference in DC this week?

I’m in-house at a small company (60 people), started right out of law school about 5 years ago. We had a legal team of 5 then. Everyone has left and we just hired a new GC. I went from $70k to $100k a little over a year ago. I am expecting an offer from a firm doing business law work but think this might be an opportunity to go to my current employer and ask for a significant raise, with new offer in hand. Any thoughts or advice going into this?

How do you find in-house positions?

Is it awkward to bring up the possibility of annual merit raise (usually done at end of year) with my boss now? It seems the job market is cooling a bit and I might lose some leverage if I wait longer to bring this up, in case the economy turns for the worse. But it being June now just makes timing a bit awkward and worried it might come off negatively/too self serving
