Is it possible to be a “silent” investor (party A) with a friend who’s an accredited investor (party B)investing in a company? So if B is investing $50k in a company, and A wants to give B $25k of that investment, is this possible with an agreement between A and B, where they’re responsible for their own portion of taxes?

Curious as to how many deals at once is typical for a first year associate to take on (M&A, mostly private equity clients). Deal size is lower middle market and I’ve worked on deals ranging from $1-$110M. 2 deals at once is plenty for me, but it seems like my peers are able to take on more than that at once and still do fine. Maybe I’m just a slow learner/out of my league at the big law firm I’m at.

So I had 3 deals scheduled to either close end of May or mid June which were all pushed to end of June/beginning of July. Which is when I have my first vacation planned for over a year (I take 0 time off). My whole family is flying up and we’re renting a cabin near me. What do I do? I’m running one of the deals, semi running the other one and not doing much leading on the other one. Note: I was supposed to not be running any of these. Do I find a back up first or tell the partners first?

Do any real estate lawyers out there know of/can direct me to a ROFO agreement to purchase commercial property? I’m working on one now (but using a ROFO to purchase equity interests as a basis) and would like to see what other people are doing. Junior associate here, should I ask for more money if my firm is about 10-15 percent less hours but about 30 percent less pay? The gap will never be closed to the top pay scale at my firm but when I decided to come to this firm the pay difference was about 15 percent and not 30. Would appreciate any thoughts on how to go about bringing this up without pissing people off because I love the firm and do not want to leave
