While working as corporate counsel, company management asks for opinions, which they claim are not legal opinions, but general opinions on states where I am not licensed. They require a signed letter. Is this okay Under a ‘corporate‘ counsel umbrella or is this too unethical and risky?

Probably need some added background here. But, if you’re licensed in the jurisdiction you’re practicing in and where the company is based, and the question is just how certain laws in other states could impact business operations, you’re fine to respond with your analysis. Not sure about other scenarios, though.

I would always try to give my “opinion” verbally in a very unequivocal, definite and accommodating manner that made senior management happy (unless I was trying to convince them not to do something, in which case I would build support one by one). In writing I would try to sidestep giving an “opinion” by saying things like “some of the risks here are x, y and z”.

Working on a deal where buyer's side keeps on insisting on a POA to effectuate all actions of Seller under the agreement, including executing documents. I keep striking this and commenting that this is not standard. Has anyone dealt with this? I am okay with a limited POA based on the industry of the Seller, but not this general POA.

Is it possible to be a “silent” investor (party A) with a friend who’s an accredited investor (party B)investing in a company? So if B is investing $50k in a company, and A wants to give B $25k of that investment, is this possible with an agreement between A and B, where they’re responsible for their own portion of taxes?

I have an asset purchase of a retail store transaction. Seller is keeping the second location. Seller is licensing the name from the buyer. The licensing agreement is supposed to contain provisions so that the seller cannot offer promotions or discounts that the buyer does not also offer (i.e., seller cannot undercut buyer's pricing). I know very little about antitrust. Can anyone give me some suggestions how to enforceably draft this agreement, or is this arrangement impossible?

So I had 3 deals scheduled to either close end of May or mid June which were all pushed to end of June/beginning of July. Which is when I have my first vacation planned for over a year (I take 0 time off). My whole family is flying up and we’re renting a cabin near me. What do I do? I’m running one of the deals, semi running the other one and not doing much leading on the other one. Note: I was supposed to not be running any of these. Do I find a back up first or tell the partners first?

Junior associate here, should I ask for more money if my firm is about 10-15 percent less hours but about 30 percent less pay? The gap will never be closed to the top pay scale at my firm but when I decided to come to this firm the pay difference was about 15 percent and not 30.
