Depends,if the firm has significant upside potential then getting equity makes sense and 401k may not be a big deal but if the firm is an early stage startup then something to consider..would do a careful analysis before taking a decision..
It depends on what level you’re at in the company. If you’re at executive level then equity will likely be worthwhile.
