Conflicts check question: how much detail will I need to provide to (hopefully) new firm? I’ve been at the same place for a decade…so many transactions over the years! It will be easy enough to gather info by client matter number, but that doesn’t capture sub-entities and/or any other specifics.

I recently just had to provide a list of all clients I’d originated as well as a description of all active matters.

I think the new firm would have the burden of clearing. If any parent companies follow the affiliate rule, you might need waivers, but again, I think the burden is on the new company to clear. I could be wrong - just my thoughts.

I had to do past 3 years. Names and addresses of all parties involved. Brief description of the matter. If it was closed, if so.. when. If it is active… anticipated closed date. I put a statement that it was to the best of my knowledge and belief.

Over my years (27 as an attorney recruiter for associates, partners and groups), there's never been a need to provide more than that. The acquiring firm will let you know if they need additional detail for any specific client/transaction.

Any interview tips for Project Manager roles in software development? I was moved to this role about 2 years ago and soon looking to jump to another company, but unsure of what to focus on talking about. How do you manage competing interests during a singing or closing? I’m working on a closing scheduled for this week (obviously everything needs to be done asap) and while I’ve told folks on my other deals that this closing is very busy, I’ve gotten really snarky responses and have been told that I’m taking too long to respond to stuff that (in my opinion) is not urgent on these other deals. Has anyone ever heard of this type of real estate private equity fund structure:

-One LLC, so only one PPM
-Multiple investors that can be onboarded anytime
-Multiple investments that investors can determine whether or not they want to invest in
-One K-1 per investor based on their investments and income
-Ability for the Sponsor/Fund to invest directly, indirectly and in equity, debt, Pref, etc.
To me this seems extremely cumbersome and would require multiple classes of (cont’d)
