Does anyone else get anxious about past mistakes unprompted? I’ve learned a lot in the last year (4th year) and am starting to go back through old closing sets and diligence reports in panic spirals about whether I missed important issues that I wasn’t attentive to as a first or second year

Yep. I try to make a list of the most litigated issues that our lit groups sees or is handling so I can run through that and try not to make the same mistake or be vague in the same area. All you can do is make a conscious effort not to let it happen, then move on.

Rising 2nd year here: been rethinking my choice as an M&A attorney. I've had a rough go of it over the first year-and-a-half of practice and am thinking about moving to a different practice area. I'd like to stay on the transactional side, but am not quite sure what areas I can leverage my corporate and M&A skills in. I was thinking T&E (i.e. business succession planning, etc.)

Junior associate here, should I ask for more money if my firm is about 10-15 percent less hours but about 30 percent less pay? Cross posted: Has anyone ever heard of this type of real estate private equity fund structure:

-One LLC, so only one PPM
-Multiple investors that can be onboarded anytime
-Multiple investments that investors can determine whether or not they want to invest in
-One K-1 per investor based on their investments and income
-Ability for the Sponsor/Fund to invest directly, indirectly and in equity, debt, Pref, etc.
To me this seems extremely cumbersome and would require multiple classes of (cont’d)

Working on a deal where buyer's side keeps on insisting on a POA to effectuate all actions of Seller under the agreement, including executing documents. I keep striking this and commenting that this is not standard. Has anyone dealt with this? I am okay with a limited POA based on the industry of the Seller, but not this general POA.
