As long as both sides are represented by counsel…
Is an in house counsel not a lawyer? If they are then by definition you meet the ABA requirements. The distinction between outside vs in house is meaningless at that point and no different than asking whether it’s unethical to join a call with an associate on the other side because the partner won’t be on.
This is common for me in tech transactions. Clients don't always want us on calls and will send us notes/drafts days, weeks, or months later.
Curious about ethics when one side is represented and the other is not, but they are discussing non-legal/business items?
