Still feel underpaid on initial base salary :/

TCS: 12.05 LPA + 1.2 Lakh joining bonus
Startup company: 14.4 LPA
YOE: 3 Years

I believe I am way under-qualified for the position and I pointed that out to her, but she responded with several points from my resume as to why she believes the role is a good fit with my experience. Got an offer for SE III at a large tech company. Product I'd be working on interests me and I think I could grow more than in my current role.

Currently I make 180k base and have ISO/RSUs @ startup (60k/yr worth on paper, but won't be worth anything for a few years, if at all).

The offer is:
Base: $166,500
Target Bonus: 10% ($16,650)
RSU: 120k total (30k/yr)

Thoughts on offer? Should I counter?

Additionally there's a yearly target RSU bonus about equal to the cash bonus. Thoughts? 4.5 YOE
