We are representing a client who will provide specifics on developing a system. An international company will develop the end product.

Are Nouse and Exclusivity provisions the correct ones I should be looking at in the provided template if the client wants to ensure the client owns the end product, not the developing company? Also, if I don’t know the legal full name of the company, what exactly do I put in the preamble?

Try looking up the word "rights" and see which sections talk about ownership of IP rights.

If you don't know the legal name of a party, put it in brackets and add a Note to Draft footnote asking for the correct legal name.

Definitely look for the ownership of IP rights clause. Also, make sure it is specified that the deliverables are a “work made for hire”.

I have so many deadlines lined up and need to work over 15 hours each day. I am already burned out and have no motivation to work. Part of me dares me to not work and face the consequences, at the end of the day its just a job. Is it normal to feel this way? I am just not able to find the motivation to work. Hey all, I’ve recently joined EY consulting from another Big 4 and have noticed there’s no discipline (at least in my team) around codes and charging time. People either charge a standard 7 hrs or some will charge time spent on internal activities to their client code.

I was told that “the last person to charge their actual hours worked was promptly booted off the project”.

Curious as to how many deals at once is typical for a first year associate to take on (M&A, mostly private equity clients). Deal size is lower middle market and I’ve worked on deals ranging from $1-$110M. 2 deals at once is plenty for me, but it seems like my peers are able to take on more than that at once and still do fine. Maybe I’m just a slow learner/out of my league at the big law firm I’m at.

What sort of reps are tripped up by requirements contracts?

Junior associate here, should I ask for more money if my firm is about 10-15 percent less hours but about 30 percent less pay? The gap will never be closed to the top pay scale at my firm but when I decided to come to this firm the pay difference was about 15 percent and not 30.
