Switch and bait?
I’ve been doing back and forth for one MNDA with a customer. That MNDA lead to amendment to my company template agreement. I talked with customer’s lawyer and we finalized the amendment. The lawyer sent back the NDA, and amendment. I only checked the amendment and did not even open the NDA and confirmed it via email. I just opened the NDA now and it is one-sided NDA (not mutual). I am molding over my mistake. I know it is only NDA, but cannot believe I didn’t bother to check.

yeah tell them this is bad faith negotiating on the customers end, bordering on fraudulent misrepresentation and that they must sign the mnda or else the deal is off

If you're providing information, just tell your commercial leads hold off until you get a mutual nda. Mistakes happen. Should be easy enough to get it corrected

Jumped from public to a job in a place run by boomers but I just wanted out of public so I took the first offer that came to me. 5 months in and I realized it's not a good fit at all. Mainly the CFO thinks no one should be working from home, and working from anywhere but the office is considered a day off to him. Is this a good reason to apply for other jobs right now?

I can still trade with the pending deposit, but I'm just wondering since I'll eventually withdraw some.

Additional Posts in In-House Counsel

Considering taking a position with a small-cap in the US trying to build their legal department. The title is standard “counsel” although the work would be with the senior leadership team and reporting to the GC in Europe. How reasonable is it to ask for a bump in title - Senior counsel or Head of Legal, US? If it matters, I am a 6th year and have been told that I will be expected to hire a junior or paralegal as we build up.

How far do you require depts be with negotiating commercial contract terms before your legal review? I’m talking routine low value and risk contracts (e.g., vendor services), where Legal terms won’t kill the deal. My clients blindly forward contracts. I say “are you sure this term is ok?” And often get “no.” They’re surprised because they never read them. Checking the temp to see what others experience, what might be normal. I feel contract training in my clients’ future...

Got a temp offer for less than a year without promise of turning into full-time. Wanted to know what ppl think about temp jobs (looks bad on resume if I don't turn full-time later within the company?) and what comp should look like (e.g. 1.2× of regular comp?).

Got another perm offer in a different industry for similar salary, but I might have to relocate and I'm concerned the work may involve translation instead of pure legal work.
