I’m currently an LLC and looking to assemble an equity deal with an advisor. I don’t know how to set it up with him where he gets his equity in the future when we restructure the entity to a c/s Corp and give out his shares. I’ve joined an early-stage startup as one of the first 3 employees (excluding the 2 founders) pretty much right out of college with ~2y of internship experience and I also worked on my own startup for a year. The founders were very senior product and eng leaders in FAANG so the founding team is considered strong. Company has a product but nearly 0 revenue. They’ve offered me sweat equity of 1%, no salary for the unforeseeable future, and no co-founder title. Is this appropriate comp?
