What is it like doing in-house M&A? Trying to decide whether the move from BigLaw M&A to in-house is going to be worth it from a lifestyle standpoint. FWIW large cap tech (not FAANG)

Typically worse WLB than other in house roles, often not for more pay than other in house roles, so it’s often a significant paycut from biglaw for not-so-great WLB. It’s definitely company dependent though.

I've been told by several folks never to take an in-house M&A role if you're looking for consistently better WLB over Big Law. Though I'm sure that should be taken with a grain of salt.

I’m new to in-house and I begin in January. I wanted to basically better understand M&A and all the inner workings of expanding the scope of a business into new avenues. Does anyone recommend a book or two that may be relevant/helpful? On amazon, I see “The Art of M&A” and “Working With Contracts”. Thank you for any insight.

What law firm is your favorite for run of the mill employment issues in the US and internationally (India, Australia, UK, Germany, etc.). I primarily use Littler because they have a broad reach and decent rates but I’m wondering whether Bird & Bird, Ogletree, or some other firm has similar pricing and as good or better quality work. So, who are you using and are you happy?

Database for M&A precedents? Trying to look for a share purchase agreement from a 2021 acquisition. Didn’t find it on EDGAR. Is there anyway to make sure the document is not publicly available? How can I get access to this agreement?

NFW- I just had a good laugh. Earlier today I was on a video conference call reviewing a Private Label Agreement template with a larger company who wishes to brand label products we develop and manufacture. We came to a very one-sided provision and my sales VP stated “for this one, how can we just say ‘hell no’ ...nicely?” The other person on the call said we can replace the wording with just NFW (no f@$* way) and I said “I will have to add that to the defined terms section so it’s clear”

When someone has a gap (up to 6 months) between a big law job and their first in house application, do you assume they were laid off? Would you advise a candidate to actively share why they took a break, if it wasn’t a lay off?

I’m entering salary negotiations at a Fortune 500 company and am looking for trustworthy resources for salary data that I can share with the company if they ask where I got my numbers. I know Glassdoor, but what else?

Have you had to change your start date after accepting an offer and how did it go? I told them I need to give 30 day notice and so I set my start date (incorrectly) assuming the background check and drug screen would take a few days to clear. However, the drug screen is now taking over a week and a half (still not finished, maybe tomorrow). Apparently things are much slower due to staffing issues and labs are backed up. It’s cutting into my 30 day notice significantly. Thoughts?

Considering trying to make a pivot. Currently a prosecutor. I have a lot of trial experience and did some ID work. Are there any logical roles aside from just litigation to keep an eye on as for as in house? Salary check. I am currently an in house attorney. 12 YOE. Large company with great coworkers doing regulatory work for the insurance industry. Good work life balance. I live in a high COL city. Out of curiosity and to test the market, I interviewed at a FAANG. Did not get the job, but found out TC was 350k, significantly higher than my TC 230k. I thought I was compensated fairly, but would love to see your thoughts.
