The answer is that law firms are fragile businesses. Even if Paul Weiss had lost only a few clients, the firm could have been destroyed.

Paul Weiss and other law firms, unlike most businesses, are owned by their workers—that is, the partners who practice there. As owners, the partners are paid not in salaries, but in shares of the profits. They also can leave and take their clients with them.

This exposes a law firm to the risk of a cascading spiral of partner withdrawals akin to a run on a bank. If one partner leaves and takes his clients with him, the firm will lose revenue—and be stuck with many of the office leases, staff salaries and other expenses that it had before. The result will be a decline in profits, which in turn will mean a decline in pay for the partners who remain.

Once their pay goes down, some of these partners may decide to leave the firm. Their departures may damage the firm even further, pushing more partners to leave, and so on. Worse still is that, by virtue of their status as owners of the firm, the partners face unusual forms of liability that reward them for leaving early and punish them for leaving late. A partner who stays too long at a firm in distress can lose his past and even future pay to creditors of the firm in bankruptcy. A partner who gets out earlier avoids these risks.

Boomer. I am in between jobs. Laid off in 10/21 after 16+ yrs, with an ABA firm. RIF. Still on excellent terms. Took my time living off generous package and didn’t seriously start applying until 01/22. Made a rookie mistake and accepted first offer.

People who don’t submit their time daily, how do you remember what you did and for how long? I’ve always just submitted each timer as soon as I finish a task—“call with x re y” really doesn’t take that long even if I’m busy, and if I don’t do it immediately I’ll forget all those little I did in the morning by the time I go to bed. Do big law firms typically need references when you lateral from another big law firm? I don’t think I suck at my job but haven’t made close partner connections at my current firm so not sure who I would ask.

PSA - We are headed into a self-imposed economic slow down. Now is not the time to lateral but if you do, I would make sure you are at a recession-proof practice or firm. The top law firms will be okay (they always are) but if you are part of a larger group of associates with no work, you are likely to be axed. Latham did it in the 2008 and 2011 and it will happen again. If you are an associate or really anyone but a rainmaker, you are expendable.
