I am wanting to shift gears and I am at a point where I can invest time in myself to learn through practical experience. The new industry I am wanting to pursue is real estate investment. I have read all the books but want some hands on experience on the property management side. Can anyone help me wrap my head around this post Series C start-up equity offer? It’s an IP director position, the the base is $170 with 10% bonus (both lower than I was expecting). There’s also an equity component: 0.15% of current fully diluted equity. This equates to about 30000 shares at a strike price of $2. They also indicate the preferred stock price is $6 and preferred stock equity is $188k (whatever that means). They are in the middle of a new financing and valuation round.

I received an offer (28 Lakhs + 3.9 Lakhs incentive) from Novartis for Sr Project Manager yesterday. This was just 13.6% more than my current earnings as Project Manager. I've given the reasons why I deserve at least 30% to HR. In response to that, HR has sent 2nd offer i.e. 29 Lakhs + 4 Lakhs incentive + 50k sign-on bonus. The 2nd offer is just 18.2% higher than my current earnings. Need your suggestion, if I could still negotiate with HR to finalize deal by asking for 25% hike?

Like, I assume that they are paid based on the level of the candidate that they bring in, but how are their incentives ALIGNED? If you as the candidate get a higher comp package, do they get a higher placement fee? Or is it in their best interest to keep your comp within (i.e., below) a certain range?
