I’m a healthcare regulatory/transactional attorney. It’s not impossible but you’d need to go somewhere that lets you retool and would train you. My one coworker worked at legal services for several years doing Medicaid appeals and other healthcare related work before coming to my current firm as a healthcare regulatory and transactional associate. If I were you I’d look for a midsized firm that has a healthcare transactional practice and shoot your shot. What market are you in?

The challenge is getting trained in corporate/transactional work. It’s the same struggle anyone would have going from lit to corporate. Some firms are open to doing that. I’m a 2019 grad but have been doing healthcare corporate/M&A and regulatory work since I started out but I’ve seen others make the switch later on.

I once was a CISA… I have no IT background, no IT degrees (2 ACCT degrees tho); never did/saw a shred of an IT audit/assurance work/client/OTJ training of any kind. Forced by employer to choose CISA vs CPA, CISA was way more feasible at the time. I passed 1st try. My firm had zero IT work. So all my CPE reqs lapsed, and my cert expired w/ zero resume material to show for it. I see IT Auditors paid WAY more. I’d love that! I’d re-sit. But idk my head from my ass about practical application.

Do any real estate lawyers out there know of/can direct me to a ROFO agreement to purchase commercial property? I’m working on one now (but using a ROFO to purchase equity interests as a basis) and would like to see what other people are doing. Finding a good one has been hard, as this kind of thing isn’t always required to be filed with the sec and every search I’ve done basically pulls up garbage. I have an asset purchase of a retail store transaction. Seller is keeping the second location. Seller is licensing the name from the buyer. The licensing agreement is supposed to contain provisions so that the seller cannot offer promotions or discounts that the buyer does not also offer (i.e., seller cannot undercut buyer's pricing). I know very little about antitrust. Can anyone give me some suggestions how to enforceably draft this agreement, or is this arrangement impossible?

Curious as to how many deals at once is typical for a first year associate to take on (M&A, mostly private equity clients). Deal size is lower middle market and I’ve worked on deals ranging from $1-$110M. 2 deals at once is plenty for me, but it seems like my peers are able to take on more than that at once and still do fine. Junior associate here, should I ask for more money if my firm is about 10-15 percent less hours but about 30 percent less pay? The gap will never be closed to the top pay scale at my firm but when I decided to come to this firm the pay difference was about 15 percent and not 30.
