Underwater equity is literally sunk cost. Start looking if you aren’t already. Magically they’ll find additional budget for you when you put in notice, but until then they’ll keep extracting as much as they can.
I would say not worth it. I was in that exact situation last year and switched from sole HOL to a large tech company. My title is not as "sexy", and the work more routine, but my overall TC is higher, my stress is pretty minimal, and I can take PTO without worries.
Crappy houses in my town are now $2m. I really don’t want to leave where I grew up, but I realistically can’t work hard enough to catch up. Maybe one day I’ll feel good just valuing the balance, but I’m not ready to stop trying.
Your value to the company probably warrants more, but if you're the only lawyer, I doubt they want to spend more on legal.

Comp seems about right to me. What do you mean by “no real vacation”?
Yeah, I’m seeing second legal hires in a bit bigger startups at about $275 with 10-30% bonus, and GC closer to $400-500 total comp, so I’d like to grow into that.
How much equity?
.2% and the current 409a is 20% of what mine was initially issued at.
Comp seems fine. When you work for a startup you're accepting the fact that you're making ok, but not great money in exchange for a lottery ticket that will pay off big if the company sells or goes public in 3-5 years.
