How do you get better at contract negotiations? (I’m a 4th yr. in commercial real estate) I feel like I’m generally good at pulling together an initial draft of an agreement (ex PSAs)...but I struggle when comments come back. Specifically, I struggle with reading newly proposed language & deciding what stays, what goes, & what needs to be tweaked. Are there books I can read (or CLEs I can watch) to get better at this?

Look at many recent similar agreements to see what’s market, then reject anything that isn’t

If you have standard terms and conditions to refer to use that as a baseline. We also have fallback language for multiple positions so we can see what is getting close to what fall back position for risk scoring.

If working for the same client or the same agreement type often, prepare a working document of boilerplate provisions, responses, and how you address those comments. You'll start to recognize where you have leeway, or where your client has risk aversion. Can be hard to see the big picture or trends when focusing on just one document.
