How do you get better at contract negotiations? (I’m a 4th yr. in commercial real estate) I feel like I’m generally good at pulling together an initial draft of an agreement (ex PSAs)...but I struggle when comments come back. Specifically, I struggle with reading newly proposed language & deciding what stays, what goes, & what needs to be tweaked. Are there books I can read (or CLEs I can watch) to get better at this?

Look at many recent similar agreements to see what’s market, then reject anything that isn’t

If you have standard terms and conditions to refer to use that as a baseline. We also have fallback language for multiple positions so we can see what is getting close to what fall back position for risk scoring.

If working for the same client or the same agreement type often, prepare a working document of boilerplate provisions, responses, and how you address those comments. You'll start to recognize where you have leeway, or where your client has risk aversion. Can be hard to see the big picture or trends when focusing on just one document.

Has anyone else gone back to relying more on public transportation with the surging Uber / Lyft prices. Trips to and from ohare are costing me about as much as the plane tickets themselves, and even simple things like meeting a friend for dinner in another neighborhood ends up costing around $80 in transportation costs. I haven’t taken buses and trains much since I’ve graduated but now it just feels like I’m throwing money out the window by not making the switch back.

Plaintiffs counsel took my clients deposition today. He mentioned that he would likely be ordering the transcripts and I suggested we split the cost of them (in front of court reporter). He got pretty defensive and said absolutely not, it’s unfair to the court reporter, and that it is frowned upon in the industry to do that. Each party orders (and pays for) their own copy. So stuck. What do I do? I joined this firm a year ago (4 yrs exp total) to grow/get more court/client exposure. Then 2 more-experienced associates were hired, pandemic, & all cases are divided between the other 2. I have no defined tasks except deficiency letters or the odd pro bono case.
