I think of myself as a corporate transactional lawyer with a specific skill. It’s basic deal work - Purchase Agreements, loan agreements, JV agreements. But we also review and understand title and survey materials, title insurance, commercial leases and property management agreements. Mind numbing attention to detail.

It involves many checklists and checklist calls, drafting and reviewing various docs, and hounding various parties by phone/email to get things done by the closing date.

Lol. Yes it’s a lot of copy pasting but that is an oversimplification. E.g., I need to draft a 200 page loan agreement. I’m given a 14 page term sheet with the business terms, the clients form loan agreement to start from and there’s like 20 concepts in the term sheet that aren’t in the form loan agreement. Now I go look at 15 similar deals to see if they have the first concepts I need to come up with language for, I find a vaguely similar concept in 3 of them, I read through all 3 for inspiration/plagiarism and mishmash them together to cover the concept properly and in the way most favorable to my client and aligning defined terms to what’s in the form or creating new defined terms for what’s not. Now rinse and repeat to get the rest of the new concepts from the term sheet incorporated. New concept #7 isn’t in any of the precedents I can find so I make up some language from scratch and pray for the best. Then make sure to choose the right options within the form for everything else in the term sheet. This whole process can take 2-5 days.

About rolling off my project with no new project opportunity yet. I’m already getting anxious and can’t have a full night rest with the worry of not finding a project soon and eventually getting laid off. Although I tend to stress-out easily but this type of anxiety is different. Are others feeling the same way? Anyone else just sitting around waiting for the ax to drop? I'm a soon to be 2nd year corporate associate who has seen work completely dry up. My utilization held pretty steady around 50% immediately after shutdown, but August was below 15 billables with no appreciable work in the pipeline. Aside from letting people know I'm available and doing pro-bono/CLE, it's starting to feel like a serious "covidcation" leading to termination.

Senior finance associate here. I don’t care that many of the finance clients I serve are younger than me. But there is this one particular analyst that emails and talks like an MD (“pls fix tks”, etc). I know… this is not any real issue. Just my pet peeve.

Is your firm treating 12/26 and 12/27 as firm holiday since the 24th and the 25th are during the weekend this year? Of course client demands would dictate whether people will be working, but curious what the official policy is. For what it’s worth, my firm treated the day after thanksgiving as holiday and I didn’t have to work for the whole day.

I lateraled to my current firm less than a year ago, 2 months into the firm’s billable year. But I’m going to hit the yearly billable target regardless. What should I expect to receive as a bonus? Just regular bonus for hitting the billable target? Extra because I hit it in less than a full year? How does this work? Would appreciate any insight!

How do I know Big-Law is not for me?

I am a first year who just started a couple of months ago and I am literally confused all the time. I did some small work for two partners and they loved it, so put me on new deals but the mid levels I am staffed with absolutely hate the work I do. One said the work I did was laughable. I felt bed because I spent over 25 hours on this. I wouldn’t be very bothered but the other Associates in my class are killing it. So I just feel dumb all the time.
