Why do corp. teams race to set up management calls. I don't even have VDR access yet and you want me to get on the phone with these people?

Corp lawyer here. I’m so sick of specialists going completely off piste and spending lots of time looking at irrelevant things.

Surely understanding what the business actually does is helpful before you start reviewing documents?

OP, we do that because we get pressure from the client to get all of our questions answered ASAP so we can proceed with the docs and get the deal done. Sucks, I know. But the point is to put pressure on all of us so that we focus on critical issues and keep the process efficient. Giving specialists weeks in a VDR usually results in high bills and maybe a couple big issues, if any.

I’ve suffered from workaholism for a long time. Thanks to a lot of great self help books and therapy, I’m no longer putting work on a pedestal and I’m spending a lot more time on self care and my marriage. But, unfortunately, I am now getting withdrawals, because my body is used to the daily adrenaline of throwing myself into work. It’s this terrible feeling of like anguish/unease in my gut, but I don’t have anything I’m worried about- it’s like my body wants to find something to worry about.

Junior associate here, should I ask for more money if my firm is about 10-15 percent less hours but about 30 percent less pay? The gap will never be closed to the top pay scale at my firm but when I decided to come to this firm the pay difference was about 15 percent and not 30. I have an asset purchase of a retail store transaction. Seller is keeping the second location. Seller is licensing the name from the buyer. The licensing agreement is supposed to contain provisions so that the seller cannot offer promotions or discounts that the buyer does not also offer (i.e., seller cannot undercut buyer's pricing). I know very little about antitrust. Can anyone give me some suggestions how to enforceably draft this agreement, or is this arrangement impossible?

Corporate / M&A folks making moves over the last few months: Got an offer from a top 50 lockstep AmLaw100 firm. 4th year. Not NYC but in a market that was recently bumped up to the previous Cravath scale market. Base is obviously set.
