For us it’s based on company sales. Everyone is assumed to be highly competent otherwise you would be fired.
I’d take it and not look back. It’s probably set in stone and if it looks like you are negotiating every — you may be wearing out your welcome.

Mine was non-negotiable. Large corporation with a sizable in house group. Compensation is set by formula including bonuses. At least for entry or lower level in-house positions (which require 3-5 years experience) at big companies it’s unlikely you’ll get much ability to negotiate.
Yearly target depends on position, but for a generic counsel position is 25% of base, actual varies slightly for performance. There is also a long term bonus (equity w vesting) that I am not entirely sure of the percent on, but I believe hovers around 10-15% of base.
Because of salary ranges/caps based on title, you may be confined to a certain base (the ranges are usually pretty wide, however). It's important to understand the level you're coming in at and the highest level at the company (whatever nomenclature they use for HR purposes). You can almost always pull in extra money for a one time signing bonus. Percentage for bonus will vary by company/industry. For example, F500 is usually around 25%. It will be much less at a start up. But you should also ask how often they actually meet their goals (I know some people who never see the 25% because the company never hits its lofty goals).
