I have a question related to securities law and apologize as I know this is not the right place but wanted to give it a shot. If an issuer has an active public offering (under Reg A) and an investor become aware of it, but wants to do a private placement of another class of shares than offered in the public offering, would the private exemption be blown? I would think a 506(c) would be best as general solicitation is permitted and therefore it takes care of the issue.

Let's talk unhinged pro se opposing parties. Curious as to how many deals at once is typical for a first year associate to take on (M&A, mostly private equity clients). Deal size is lower middle market and I’ve worked on deals ranging from $1-$110M. 2 deals at once is plenty for me, but it seems like my peers are able to take on more than that at once and still do fine. So I had 3 deals scheduled to either close end of May or mid June which were all pushed to end of June/beginning of July. Which is when I have my first vacation planned for over a year (I take 0 time off). My whole family is flying up and we’re renting a cabin near me. What do I do? I’m running one of the deals, semi running the other one and not doing much leading on the other one. Note: I was supposed to not be running any of these. Do I find a back up first or tell the partners first?

Junior associate here, should I ask for more money if my firm is about 10-15 percent less hours but about 30 percent less pay? The gap will never be closed to the top pay scale at my firm but when I decided to come to this firm the pay difference was about 15 percent and not 30.
