They seem to want to utilize my complete skills set and make up for her lack of marketing knowledge but maintain her position as director and pay me a entry level marketing manager salary. Advice?

Has anyone received equity as contingency comp? I have a potential client with a founders dispute. He doesn’t have cash, and the other founder ripped him off and is now running the company. I have an offer for $130k for a senior attorney position in a boutique L&E firm. Also have a recruiter who thinks she can get me into another for $150-170k.
