You could use something like the following (with necessary customizations to the defined terms and license rights):

Third Party Intellectual Property. Supplier shall not, without Buyer’s prior written consent, incorporate Third Party Intellectual Property into any Work Product. In the event that Third Party Intellectual Property is necessary for the use of any Work Product, Supplier shall secure on Buyer’s behalf and in the name of Buyer, an irrevocable, non-exclusive, non-transferable, perpetual, royalty-free license to use the Third Party Intellectual Property, including the right of Buyer to authorize contractors, consultants and others to use the Third Party Intellectual Property, for the purposes described in this Agreement.

3 attorney firm. I’ve been here for 6 years and have used Westlaw exclusively. Now we are switching to Lexis because apparently Westlaw is too expensive. I hate change.
