I have an associate's degree in graphic design and work designing wedding stationery. I've been at my company since 2016, and am now a design consultant - speaking to customers directly and creating custom artwork and designs for them. I know I'm underpaid (50k/year in the SF Bay Area) but I thought the benefits and stability were worth it. Fifth year labor and employment associate at Big4 L&E firm (think Littler) and am considering making a move into big law (think Jones Day, Goodwin, etc.) Any thoughts on if it’s worth it this late in my associate career? Also, do those big firms take 6-8 year L&E laterals?

Have people been doing more or less work with personal projects since working from home? I feel like it’s been harder to keep motived to work on my side projects since starting a permanently remote position.

Can anyone help me wrap my head around this post Series C start-up equity offer? It’s an IP director position, the the base is $170 with 10% bonus (both lower than I was expecting). There’s also an equity component: 0.15% of current fully diluted equity. This equates to about 30000 shares at a strike price of $2. They also indicate the preferred stock price is $6 and preferred stock equity is $188k (whatever that means). They are in the middle of a new financing and valuation round.

Database for M&A precedents? Trying to look for a share purchase agreement from a 2021 acquisition. Didn’t find it on EDGAR. Is there anyway to make sure the document is not publicly available? How can I get access to this agreement?

Very specific to retail and/or hospitality in-house roles: has anyone found a good solution for predictive scheduling? Our retail division has one set of software for scheduling and one for payroll, and neither of them can handle predictive scheduling compliance issues unless they’re used for both the scheduling and payroll functions. I’m coming up empty on ideas for them to bridge the gap, but I’m also new to my compliance counsel role, so I would be overjoyed if anyone has suggestions.

Holiday Season - at my former company, around this time of year I would have already gotten a ton of gift baskets etc. - not something I would ever take home but open up for the team and leave out. Outside counsel has been prepping company witnesses for a trial in August. It is my subject area so I am supervising outside counsel. I did not, however, choose the counsel. He is doing a really awful job. Co counsel is better, but not great either. Higher ups love the firm… I do not want to micromanage, but I have genuine concerns about outside counsel’s ability to try this case. Trials are rare, and I just don’t think these guys have actually tried many cases. Cont. below…

How many years experience typically do you need before you’re eligible for a Senior Counsel role at your company? Does your company only care about years or does it also care about duties and your personal contributions?
