Burnout thread. 2nd year commercial lit associate, I lateraled from a large local (FL) firm to AMLaw 100 about 7 months ago for a big salary increase. My hours are actually a bit lower now but I still feel incredibly burnt out/disinterested. Anyone else feeling this? Ways to cope? I love the salary but don’t know if it’s worth being miserable during the work week.

Like, I assume that they are paid based on the level of the candidate that they bring in, but how are their incentives ALIGNED? If you as the candidate get a higher comp package, do they get a higher placement fee? Or is it in their best interest to keep your comp within (i.e., below) a certain range?

Anyone here deal with Phantom Share Agreements? Would that be in the wheelhouse for an ECVC lawyer? My BIL is being offered a job with a company and received a proposed phantom shares agreement. One condition states that he must remain in good standing with the company even after the 3 year vesting period to receive distributions. Is that atypical?

Can someone explain to me what law clerks are in private practice? I'm based internationally but deal with our NY office a lot, and I can not figure out what the title actually means/where it sits.

Corporate associates — do you feel it’s harder to meet hours vs your litigation counterparts? Billing in increments of 0.10 vs driving to the courthouse that can be billed in large chunks, as an example (pre-covid obvi)

To the lender counsel that forgot to mention they needed original signature pages for a deal that closed early this year and decided to chase and harass me a day before thanksgiving and a day after thanksgiving multiple times. F*ck you. I don’t know what is driving your lack of courtesy but I have represented the same bank before and know their usual original signature requirement.

My mentors (partner & senior) have scheduled a feedback meeting with me on Wednesday. It’s not just me, they’re scheduling meetings with everyone so I’m probably keeping my job. I've always been very technical, so I think that the only thing I am missing now is making sales. (I really wanna make partner)

Very Noob question: First year here that has done DD for a couple of deals representing the seller now. Essentially all I did was note whether certain agreements have change of control provisions, and if so, what the specific language is. I understand what the CoC do, but why am I doing this? Specifically, what does the buyer do with this? It seems like these provisions should trigger but nothing then happens...

For those of you with young children and a 2000 billable requirement, could you share what your typical daily schedule is like? Also do you have time to fit in exercise?
