Got an offer for SE III at a large tech company. Product I'd be working on interests me and I think I could grow more than in my current role.

Currently I make 180k base and have ISO/RSUs @ startup (60k/yr worth on paper, but won't be worth anything for a few years, if at all).

The offer is:
Base: $166,500
Target Bonus: 10% ($16,650)
RSU: 120k total (30k/yr)

Thoughts on offer? Should I counter?

Additionally there's a yearly target RSU bonus about equal to the cash bonus. Thoughts? 4.5 YOE

I recently got a job offer through a company that offered me the high end of what I was asking (75k) but since it is the high end of what I asked for, do I have room to negotiate? Do I have a leg to stand on if I even try negotiating at the point? I have til Friday to fully accept. How is Flipkart for Work life balance? I have ~5 years of exp and hold an offer of 32 + Stocks. Also the expectation is to know Java but during the interview process , there was no discussion of Java or any questions asked.
