How do you all deal with the guilt of leaving a comany/ team? I have been working at Microsoft for 1 year now, and seriously considering moving. I find the code base to be very legacy and I mostly work on obscure bugs that I spend so much time on, mostly due to navigating this large code base and not having much docs to refer to. Hence I find the job slightly unsatisfying, and that I could learn more elsewhere. However, I love the wlb, the team and company culture. The guilt stops my applying.

You don't even need to mention the counter.
You could tell them that if they could change (XYZ) that you would be ready to sign.
I always negotiate if I have a counter offer. Nobody is gonna rescind an offer over reasonable negotiation

Hell yeah man. 200 is not small, it's solidly mid-sized. 5% also doesn't seem like a lot, especially if their offer is not already top of market. Your ability to negotiate is determined by a few main things, your leverage, your value, the strength of the company, and how good the market is. All of these seem in your favor.
Again I don't know how good their offer is, but if it's just decent, you can probably at least reasonably ask for 15-20% more and settle closer to 10% above in this market. If companies really like you, sometimes even the mention of still being in the process with other companies will get them to sweeten the pot so you don't wait for other offers.

Everything is negotiable. Personally I do not take counter offers as I don't trust to keep me employed after they find a replacement. But you can always use the offer to negotiate.
